2.3. Support services are governed by the selected Service Level Agreement (SLA).
3. Software Licensing
3.1. Software licenses for Sage X3, Sage Intacct, and Sage 300 People are issued under the terms set by Sage. Clients are required to adhere to Sage’s licensing policies.
3.2. Jera Consulting facilitates the licensing process and acts as the reseller but does not own the software intellectual property.
4. Implementation Services
4.1. Implementation services include requirements analysis, system setup, data migration, user training, and go-live support.
4.2. Any delays caused by the client, including late provision of data or lack of availability for meetings, will impact project timelines and may result in additional charges.
4.3. Assumptions about business processes, integrations, or configurations made during scoping must be confirmed in writing. If assumptions are invalid, additional costs may apply.
5. Customizations and Reports
5.1. Customizations, including additional reports or workflows, are not included in the standard implementation and will be quoted separately.
5.2. Jera Consulting will not be held responsible for delays or issues caused by third-party systems or incomplete requirements from the client.
6. Fees and Payment Terms
6.1. All fees, including licensing, implementation, and support charges, will be outlined in the project proposal.
6.2. Payment terms are strictly as per the agreement. Late payments may result in suspension of services until outstanding amounts are settled.
7. Data Protection and Privacy

11. Acceptable Use
11.1. Clients agree to use Sage products in compliance with all applicable laws and regulations.
11.2. Misuse of the system, including unauthorized access or unethical use, may result in termination of services.
12. Changes to Scope or Project Plan
12.1. Any changes to the agreed project plan, including additional functionality or reporting requirements, must be requested in writing and will be billed as per a revised agreement.
13. Termination
13.1. Either party may terminate the agreement by providing 30 days’ written notice.
13.2. Upon termination, the client remains liable for any outstanding fees.
14. Virus and Security Policy
14.1. Jera Consulting ensures the software and deliverables are virus-free at the point of delivery but cannot guarantee security for systems outside its control.
14.2. The client is responsible for maintaining adequate cybersecurity measures, including antivirus software and firewalls.
